We advise on the legal aspects (other than taxation) of the establishment, sale and purchase of businesses.

When setting up a business, either through a limited company or as a sole trader or partnership, it is vital to ensure that the documentation is in order. Similarly, to run a business efficiently it is important to use clear and comprehensive documents to set out any agreements made. We can advise and prepare documents such as standard terms of business and conditions of sale, partnership agreements and the memorandum and articles of association of a limited company. We also act on the sale and purchase of existing businesses and related work such as the acquisition of leasehold and freehold premises.

In our litigation work we see many disputes that have arisen because partners have set up or altered the workings of a business without reaching full agreement as to the terms and/or have not ensured there is appropriate documentation in place. A small sum spent on legal fees, in particular when a business is being set up, can prevent the expenditure of a vastly greater sum on resolving a dispute.
